Who should appoint auditor in government company when the existing auditor resigns?

Section 139(8) states that in case of casual vacancy for auditor of a Govt. company, C&AG shall appoint auditor within 30 days of casual vacancy: But in case C&AG doesn't fill the vacancy within 30 days of vacancy the proviso to the same sub-section states "the Board of Directors shall fill the vacancy within next 30 days".

However, for an opinion expressed on common areas, joint auditors would be responsible if they have not done the work with professionalism and care.
