Section 39 of the Companies Act, 2013 states that a company can't offer securities to the public for subscription unless the following conditions are met: 1) The minimum amount stated in the prospectus has been subscribed 2) The company has received the sums payable on application for the stated amount by cheque or other instrument 3) The amount payable on application for each security is at least 5%
